In a free initial consultation, I’ll talk to you about the pros and cons of each business type and the requirements for setting up each of the following.

• Corporations

I’ll help you decide what type of corporation is best suited to your particular business and tax circumstances, and how to apportion stock among the owners. I’ll prepare all the necessary papers to ensure they are properly filed with the Secretary of State.

• Limited Liability Companies

I’ll prepare the operating agreement, which designates everyone’s role in the company. I’ll prepare and file the documents you need and arrange payment of the fees.

• Partnerships

I’ll draft a custom-tailored partnership agreement that covers the rights and duties of each partner. The agreement will also spell out each partner’s ownership share, what each partner will contribute to the partnership (for example, one may just contribute money while another works), and how partners will be paid. The goal is to anticipate, identify and address the issues that often cause disputes between partners, and can threaten your business success.

• Operating your business

To help you get started, I’ll advise you on setting up bank accounts and obtain a tax identification number for your business.
